All intellectual property rights in the Services, including but not limited to software, algorithms, AI models, documentation, trademarks, logos, and trade secrets, are owned by AIMatric or its licensors. These Terms do not grant you any rights to use AIMatric's trademarks or logos without prior written consent.

Trial licenses, demonstrations, and evaluation versions of AIMatric products are subject to the following:
7.1 Trial Period
- Trial periods are limited as specified at registration (typically 14-30 days)
- Trial access terminates automatically at the end of the trial period
- Data may be deleted upon trial expiration
7.2 Restrictions
- Trial versions are for evaluation purposes only
- May not be used for production workloads or commercial purposes
- Functionality may be limited compared to paid versions
- No warranties or SLAs apply to trial versions
8. Cloud Services Terms
8.1 Service Availability
AIMatric strives to maintain high availability of cloud services. However, services may be subject to:
- Scheduled maintenance windows (with advance notice when possible)
- Emergency maintenance for security or critical issues
- Service level commitments as specified in your subscription agreement
8.2 Data Processing
Determine purposes and means of processing personal data
Process data on your behalf according to your instructions
Processing is governed by our Data Processing Agreement. You are responsible for ensuring lawful data processing.
8.3 Data Location
AIMatric may process data in various geographic locations. Enterprise customers may specify data residency requirements subject to availability and applicable fees.
9. On-Premises Deployment Terms
For on-premises installations of AIMatric products:
You provide and maintain required infrastructure
AIMatric provides installation documentation and guidance
You are responsible for deployment environment security
AIMatric does not have access to data processed on-premises
Provided according to your license agreement

10. API and Integration Terms
Access to AIMatric APIs is subject to the following:
API access requires valid authentication credentials

API specifications may change; we provide reasonable notice for breaking changes
You may not use APIs to create competing services

COMMERCIAL TERMS
11. Fees and Payment
11.1 Pricing
Fees for paid Services are set forth in your order form, subscription agreement, or on our website. All fees are:
- Quoted in the currency specified and exclusive of taxes unless stated otherwise
- Non-refundable except as expressly stated in these Terms
- Subject to change with reasonable notice for renewal periods
11.2 Payment Terms
Late Payments: May incur interest at the rate of 1.5% per month
Suspension: AIMatric may suspend services for accounts with overdue payments
Taxes: You are responsible for all taxes associated with your purchase
11.3 Subscription Renewals
Auto-Renewal: Subscriptions automatically renew for successive periods equal to the initial term unless either party provides written notice of non-renewal at least 30 days before expiration or the subscription is terminated in accordance with these Terms.

Subject to payment of applicable fees and compliance with these Terms, AIMatric grants you a limited, non-exclusive, non-transferable license to:

AIMATRIC DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. AI-GENERATED OUTPUTS MAY CONTAIN ERRORS OR INACCURACIES AND SHOULD BE REVIEWED BEFORE USE.

GENERAL PROVISIONS
18. Term and Termination

You may terminate your account at any time by providing written notice to AIMatric. Prepaid fees are non-refundable upon termination for convenience.
18.3 Termination for Cause
Either party may terminate immediately if the other party materially breaches and fails to cure within 30 days, becomes insolvent, or as required by law.
18.4 Effect of Termination
Upon termination, your access ceases immediately, you must discontinue use of AIMatric materials, and your data may be deleted after a reasonable retention period.
19. Indemnification
You agree to indemnify, defend, and hold harmless AIMatric and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:
- Your use of the Services in violation of these Terms
- Your Content or data processed through the Services
- Your violation of any applicable laws or third-party rights
- Any misuse of AI-generated outputs

The failure of either party to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

You may not assign or transfer these Terms without AIMatric's prior written consent. AIMatric may assign these Terms in connection with a merger, acquisition, or sale of assets.

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including natural disasters, war, terrorism, labor disputes, or internet service failures.
